Welcome to Transcriptr. These Terms of Service ("Terms") govern your access to and use of the Transcriptr platform at transcriptr.ai (the "Platform"), operated by Transcriptr ("we," "our," or "us"). By accessing or using our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Platform.

We may modify these Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use after such modifications constitutes acceptance of the updated Terms.

2. Eligibility

To use our Platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Platform under applicable laws

By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Maintain the security and confidentiality of your account credentials
  • Not share your account with others
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Platform Services

Transcriptr provides:

  • YouTube video transcript extraction
  • AI-powered content transformation tools (summaries, study notes, blog posts, etc.)
  • Content export and download functionality
  • Credit-based usage system for premium features
  • Customer support

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time.

5. User Obligations

When using our Platform, you agree to:

  • Comply with all applicable laws and regulations
  • Use the Platform only for lawful purposes
  • Respect intellectual property rights of content creators
  • Not misuse or abuse the Platform or its features
  • Not attempt to circumvent any usage limits or restrictions

6. Prohibited Activities

You may not:

  • Create multiple accounts to abuse free tiers or promotions
  • Use bots, scripts, or automation to access the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform to process content you do not have rights to use
  • Resell or redistribute Platform services without authorization
  • Interfere with or disrupt the Platform's operation
  • Upload malicious code or attempt to compromise security
  • Use the Platform to generate illegal, harmful, or infringing content

7. Intellectual Property

Our Intellectual Property

The Platform, including its design, features, and content, is owned by Transcriptr and protected by intellectual property laws. You may not copy, modify, or distribute our Platform without permission.

Your Content

You retain ownership of any original content you create using our tools. By using the Platform, you grant us a limited license to process and display your content as necessary to provide our services.

Third-Party Content

YouTube videos and their transcripts remain the property of their respective creators. You are responsible for ensuring you have the right to process any content through our Platform.

8. Payment Terms

Pricing: Our subscription plans and credit packages are priced as displayed on the Platform. Prices may change with notice.

Billing: Subscriptions are billed in advance on a recurring basis (weekly, monthly, or annually). Payment is processed through Stripe.

Refunds: Subscription fees are generally non-refundable. Unused credits do not roll over and expire at the end of your billing period.

Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or secure. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying any content before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSCRIPTR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR $500, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Transcriptr, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you process through the Platform

12. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

  • Your right to use the Platform immediately ceases
  • We may delete your account and associated data
  • Provisions that should survive termination will remain in effect

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in San Francisco County, California, in accordance with AAA's Commercial Arbitration Rules.

Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Transcriptr.

Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.

Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
